Tender References: D02693 Contract Title: Supply of Diesel for Bonga Solar Turbines
INTRODUCTION AND PROJECT OUTLINE
Shell Nigeria Exploration and Production Company Limited (SNEPCo) intends to carry out a Tender exercise for the provision of OSGT, Diesel for its Solar Gas Turbines for its deep – sea Bonga FPSO operation, and wishes to invite reputable companies in the business of providing the required services to pre-qualify for inclusion in the Tender
The supply of DSGT, Diesel for Bonga Solar Gas Turbines Contract shall consist of services listed below:
i. Supply of Diesel to Solar Turbine Specification Estimate volume requirement is circa 4,000 m3 (4,000,000 Liters) required over a two (2) years period
ii. Technical support and laboratory analysis
iii. Riling of SNEPCo Offshore Supply Vessels to Shell Marine standards
PRE-QUALIFICATION REQUIREMENTS
Prospective Tenderers are required to submit the following information with suitable evidence of compliance. To qualify for consideration, prospective Tenderers are required to submit a set of the under mentioned documentation, with specific chapters separated by dividers, in same order as set out herein;
MINIMUM REQUIREMENTS
1 A cover letter summarizing the content of the pre-qualification document.
2. Nigerian Registration
(a) Company Registration Certificate/Memorandum of Association.
(b) Evidence of Tenderers registered office in Nigeria.
(c) Tenderers legal status and profile including Nigerian shareholding and details of any formal technical support agreement with Nigerian companies.
(d) In the case of joint venture, attach copy of the Joint Venture Agreement or Memorandum of Understanding (MOU), clearly stating the roles, obligations and responsibilities of each party.
(e) Copy of current certificate of registration of the Department of Petroleum (DPR) or evidence of renewal.
(f) VAT Registration Certificate.
3. Nigerian Content
(a) Evidence of Ml compliance with the Federal Government directives on the Nigerian Content targets of 45% and 70% by year end 2006 and 2010 respectively. Bidders are expected to identify in their bids the scope of work that will be accomplished using Nigerian resources (human and material)
(b) Nigerian Corporate Affairs Commission registration Forms C02 and C07
(c) Provide documented verifiable evidence of the address and location where procurement activities will be coordinated in Nigeria.
(d) Documented verifiable evidence of Tenderer’s past compliance with Nigerian Cabotage Act 2003
(e) Furnish details of Onshore (Nigeria! assets (storage facilities, etc.)
(f) Identify the Scope of Work that will be accomplished using Nigerian resources (human and material)
(g) Submit Tenderers Nigerian Content Development and Compliant Plan on this project.
Only Nigerian Companies are qualified to Bid. Non-compliance with Nigerian Content is Fatal Flaw.
HSSE
a. Details of Tenderer’s Health. Safety. Security and Environment (HSSE) policy and programme together with Sustainable Development (SD).
b. Safety records detail for accidents. injuries, damages and summary for near misses, LTI, for the past three (3) years
c. Provide outline evidence of an HSSE Plan for delivery and unloading of diesel
d. Provide valid HSSE Management Certificate (e.g. ISO 14001).
5. Performance
(a) Evidence of services listed in the Scope of Work.
(b) Reference of three (3) major customers that can be contacted for information.
6. Financial Standing
(a) Evidence of 200 million Nigerian Naira (NGN) or equivalent working capital and summary current Bank Statement or proof of other financial facilities.
7. Equipment Requirement
(a) Description of and specification of equipment currently owned by Tenderer and proof of ownership.
8. Technical Information
(a) Details of Tenderer’s Quality Assurance and Quality Control Procedures,
(b) Provide valid Quality System Certificates (e.g. ISO 9001).
(c) Details of Tenderer’s Marine Vessel Quality Assurance. Tenderers shall indicate the type and size of vessel they intend to use, provide initial evidence of Quality Assurance Plan to cover identified shipping and marine risks.
(d) Evidence of nomination of independent Surveyor for tank clearance and cargo loading,
(e) Evidence showing details of Onshore Base and Technical Support.
(f) Evidence of any Non-Nigerian Operating Partner, and/or Sub-Contractor.
(g) Proposed Refinery: Tenderers shall indicate proposed refinery, its location and advise range and type of Product available.
9. Personnel
(a) Provide general structure and organisation, summary list and resume of Key Personnel and specific Tenderer’s Representative – provide all information concerning contacts: telephone, fax, email, etc.

SPDC CORPORATE TELEPHONE EXCHANGE MAINTENANCE
The Shell Development Company of Nigeria Limited (SPDC) as Operators of the Joint Venture between itself and the Nigerian Petroleum Corporation (NNPC) intends, on behalf of the Joint Venture, to put in place a contract for the maintenance of Telephone exchanges in Warri, Port-Harcourt, Lagos and Abuja.
We currently have 42 telephone exchanges with an installed capacity 30,000 telephone lines in about 42 sites (18 in the East, 16 in the West, 7 in Lagos and 1 in Abuja) with associated call centre, voice mail and billing systems. There shall be a 24hr/day service in line with our operational requirement and grade of service. The contract shall be service level based and payment shall be directly related to performance. The following services required under this contract shall cover all SPDC locations including office locations, residential areas, outstations and field logistics bases companywide: including office locations’ residential areas, outstations and field logistics bases companywide:
1. Maintenance of Alcatel OmniPCX 4400 and Ericsson MD110 Telephone Exchanges
2. Maintenance of Call Centre services,
3. Maintenance of Telephone Billing Systems.
4. Maintenance of Interactive Voice Response Systems.
5. Maintenance of Audio Conference Systems,
6. Maintenance of Voice Mail Systems,
7 Maintenance of Network Management System
Experience with this nature of work in the past three (3) years is required; However, Nigerian companies that do not currently have the required technical expertise and still wish to be considered may form joint ventures with international companies. Evidence of such legally binding agreements with clear roles and responsibilities must be included in the tender package.

Pre-qualification requirements
Interested, reputable contractors/companies are required to submit pre-qualification documents, containing the following: -
- Company profile including certificate of incorporation in Nigeria, Form C02 C07.DPR certificate relevant to the nature of services to be provided and valid for 2009, names of shareholder/ equity participation.
- Detailed organizational structure with organogram and defined roles & responsibilities. Include Curriculum Vitae of Top Management staff citing experiences
- Corporate and branch offices with contacts.
- Verifiable evidence of financial strength and stability (to include certified Audited certified accounts and tax clearance certificates for the past three years 2006, 2007 & 2008. Verifiable evidence of source of finance with value from a reputable institution.
- Technical job capability (This should include verifiable details of Equipment/Tools, evidence and value of previous works done in these categories, either in the oil and Gas sector or any other industry including evidence of direct technical relationship with Alcatel on Telephone Exchange support).
- Curriculum vitae, with relevant certifications of key personnel with relevant experience in Alcatel telephone exchange maintenance.
- Properly endorsed copy of company’s Corporate Quality Assurance/Quality Control (QA/QC) Policy and plans (should also include QA/QC method statement and execution plan specific to hardware procurement, installation and software support services. QA/QC management and procedures in place. Evidence of accredition of Quality Management System. Evidence of retainership clinic arrangement, and workmen compensation insurance policy.
- Signed copy of Company’s Health, Safety and Environmental (HSE) Policy and Plan (HSE plan should contain detailed procedures covering the three areas). Company HSE Management system in place. Journey Management policy and typical plan. Verifiable HSE performance statistics and recognitions. Structure of the HSE organization describing responsibilities and accountabilities. CV’s of relevant HSE personnel with HSE certifications Typical Job Hazard Analysis relevant to scope of work.
- Expediting period for procurement installation services.. Turn around/Response time for repair, return and replacement. Evidence and process in place to support expediting period. Number of vehicles per location to provide support Evidence of 24/7 service support in place. Evidence of agreement in place for OEM support and spares ordering. Listing and evidence of ownership of relevant tools for execution of scope.
- Verifiable evidence of Operational Base in Abuja, Port- Harcourt, Lagos and Warri.
- Nigerian Content
In line with the Federal Government of Nigeria Directives on Nigerian Content targets of 45% and 70% by end year 2006 and 2010 respectively, bidders are to include in their bids detailed Nigerian content plan on how to meet these requirements. The plan should include the following information:
· Provide in tabular form the Nigerian Scope of work as percentage of the overall project scope in monetary terms on this project that will be created in country. A detailed breakdown of the components that make up the total percentage is required.
· Materials that are to be sourced locally in this contract; Nigerian professionals, skilled and unskilled personnel to be engaged in this contract.
· Where a company is in joint venture, partnership or consortium, evidence of such a relationship in form of an MOU or pre-bid agreement signed by chief executives of both companies and partners.
· Provide training plan for Nigerians/Niger Delta indigenes. Evidence of post training in last two years is required
· Evidence of nominated Nigerian Content Manager with appropriate experience, qualification, clear responsibilities & targets, seniority level in organisation, qualifications, membership of Nigerian trade/ professional body;
· Evidence of corporate NCD policy. Demonstration of legislative & regulatory awareness relative to Nigerian content, Evidence of an understanding of the local business environment & existing relationships with Nigerian contractors & suppliers, subcontracting relationships and/or partnership agreements, structured list of Nigerian supplies and services procured from Nigerian companies e.g. accounting, legal etc. existing initiatives to develop Nigerian companies; Verifiable evidence of an existing, established presence in Nigeria or plan to establish presence i.e. availability of office facilities, local support facilities.
Only indigenous Contractors or indigenous Contractors with genuine alliance with Nigerian registered multinational companies are qualified to bid.

Description of Work/Service:
The work to be performed generally consists of all Works necessary and incidental to:
a) Maintenance, servicing, repair, recovery, cleaning of all Shell owned medium and light vehicles including accidented vehicles
b) Work shall be executed in the Eastern Division, -IA Port-Harcourt, Egbema, Kolocreek, Agbada, Imo River, Afam, Okoloma, Gbaran Ubie, Bonny Island, Kidney Island, and any other locations as instructed by Shell. In the Western division Warri – all field locations including but not limited to Ughelli, Forcadors, Escrovas, North Bank Yakri and Abuja
c) Provision of suitable and comparable replacement vehicles with or without drivers for vehicles in workshop for routine and/or non-routine maintenance, icluding accidented vehicles.
d) Operation of Shell light vehicle including provision of drivers and or mates for a number of SPDC light vehicles in the Eastern & Western divisions and Abuja. Number of vehicles to be crewed shall be determined by Shell and may fluctuate on a monthly basis.
e) Provision of up to date vehicle particulars/documentation
f) The contractor shall be responsible for collection and/or delivery of Shell vehicles maintained under the contract between Shell premises and the workshops.
The contract is being projected to be for a period of three (3) years with an option to extend for another 1 year.
PRE-QUALIFICATION
SPDC hereby invites reputable contractors having experience in the operation and maintenance of Light Vehicles East, West, Abuja to pre-qualify for inclusion in the tender exercise. To qualify for consideration, contractors’ notice of intent shall be accompained by the following information.

8. Nigerian Content Development Strategy
The Shell Petroleum Development Company Nigeria Limited (SPDC) on behalf of the Joint Venture partners is committed to fully comply with The Federal Government directives on Nigerian Content to provide opportunities for Nigerian contractors and the development of local expertise. Pursuant to the above, Only INDIGENOUS companies working alone, or as leading partners (i.e. prime or main conductor) In o consortium with foreign firms are qualified to bid for this tender. The Federal Government of Nigeria Policy and Directives on Nigerian Content Development (“Directives”) mandates that all contracts .« the Petroleum Industry create value in country with target of 70% by 2010 in terms of total monetary expenditures in country.
SPDC intends to and will expect bidders to comply with the Federal Government Nigerian Content Development Directives of October 13, 2006 [or its. latest revision) available at www.nnpcgroup.com and www.nigcontent.com because they constitute a FATAL FLAW in all Contract evaluations. As a result bidders will be evaluated on their perceived willingness, documented track record, and demonstrated plans to fully comply with the Directives and Company requirements. Failure to fully comply with the Government Directives or demonstrate commitment to Nigerian Content Development shall result to disqualification from bidding this contract.
Companies responding to this advert are required to include in their bids, detailed Nigerian content plan on how to meet requirements. The plan should include the following information.
Demonstrate that entity is an indigenous company or on indigenous company in genuine alliance with a foreign owned or multinational company registered in Nigeria. submit certified true copies of CAC forms 10, 02 & 07 including company memorandum & article of association and/or evidence of entity’s in corporation, shareholding & ownership structure in Nigeria. Evidence of the Parlnership/JV Agreement with a Nigerian or Indigenous Company with duty signed binding Agreement by the CEO of both parties.
Company Nigerian Content Development policy/strategy demonstrating legislative & regulatory awareness relative to Nigerian content, and o description of how prospective bidder intends to maximise the utilization of Nigerian / Niger Delta human and material resources and services that would be involved in executing the work.
Describe where your contract management team and procurement centre will be located in Nigeria. Please also submit an organization chart to substantiate this information.
Value of the work, that will be executed in Nigeria as a percentage of the overall proiect scope in monetary detailed breakdown of the components that make up the total percentage.
List of materials that will be sourced locally, Nigerian/’Niger Delta professionals with relevant experience, skilled and unskilled personnel employed in your company. Provide evidence (personnel list and positions with organization chart to substantiate) of percentage of management that are Nigerian Nationals and the percentage of the total workforce that are Nigerians.
Submit the project key personnel manning plan, the job positions and skill area in the overall job position/ key personnel matrix that would engage Nigerian nationals directly on this contract and those that will engage other nationals.

Detailed description of the location of in-country committed facilities & infracstructure (assets, equipment/spare parts, technical office, and administrative space, storage workshop, assembly area, maintenance, testing, laboratory, etc) in Nigeria (preferably in Port-Harcourt) to support this contract or submit a credible and verifiable plan towards setting-up.
Details of nominated Nigerian Content focal point with appropriate Experience, qualifications, clear responsibilities & targets, seniority level in organization, qualifications and membership of Nigerian trade/professional body, Evidence of an understanding of the local business environment, success in nurturing Nigerian content on previous project & existing relationships with Nigerian contractors & suppliers, subcontracting relationships and/or partnership agreements, structured list of Nigerian suppliers and services procured from Nigerian companies e.g accounting, legal etc, existing initiatives to develop Nigerian companies.

DESCRIPTION OF WORK/SERVICE
Shell Nigeria Exploration and Production Company (SNEPCo) invites interested and reputable Contractor, with relevant verifiable experience and capability to apply for Pre-qualification for consideration to Tender for a Call-off Contract for the Acquisition of 3D Time-lapse (40) Seismic Data over the Bongo fields.
SCOPE OF WORK
3D time-lapse (4D) repeat marine seismic survey conducted in deep wafer OML 118, offshore Nigeria.
Seismic survey will cover a total of ca. 1000sq. km. with a minimum commitment of 400 sq.km. possibly increasing by 600 sq.km.
The survey will be acquired in alignment with the pre-existing baseline and repeat survey, acquired in 2000 and 2007/2008 respectively.
The survey will include undershooting existing Productions facilities (FPSO and SPMB) within the survey area.
Emphasis is placed on repeatability of the surveys.
To qualify for consideration, prospective Contractors are required to submit TWO SETS of the under mentioned documentation on or before 22nd June, 2009. The first, for pre-qualification to the Shell Office in Lagos.The second, for tecnical evaluation, to be submitted via the NipeX Portal.
PRE-QUALIFICATION REQUIREMENTS

Technical experienee (description and specification of recent medium to large 3D time lapse (4D)seismic acquisition executed by tender)
HSSE (Evidence of HSSE Management systems, Safety records for past 3 years and Shell HSE Questionnaire).
Completed HSSE Capability Assessment Questionnaire. Details of Contractor’s Health, Safety, Security and Environment (HSSE) Policy and program together with Sustainable Development (SD). Provide HSSE Plan and details how Contractor intends to manage the Risks
