COASTAL TANKERS AGENCY SERVICES TENDER 2009 INVITATION TO BID

PPMC hereby invites tenders for the Cargo Agency, Customs Agency and Port Agency of her Coastal Vessels for the movement of petroleum products between the refineries and the water fed depots in Nigeria.

The services required to be carried out by the agent shall include the following among others:

· Declaring of vessels at berthing meetings prior to vessel berthing

· Verification of the Acceptability of Nominated vessels for berthing at relevant Nigerian Ports.

· Lodgement of vessel Manifest/Transire with NPA, and Custom.

· Perfection of Single Goods Declaration (SGD) Form and closing of Custom’s Manifest for Export/ Import petroleum products.

· Collection and Reconciliation of NPA bills.

· Booking of vessels at the Pilot Office.

· Boarding of vessels with the relevant Government Agencies, NPA, Customs, Port Health and Naval task force etc.

· Monitoring of vessel’s movement, bunkers fresh water and reporting same Transportation Department (MTD)

· Liaison with customs, NPA and other relevant agencies to effect PPMC’s compliance with relevant Import, Export and Coastal Operations requirements.

BID REQUIREMENTS

Prospective Agents are expected to have a functional office in all the major sea ports- Lagos, Port-Harcourt, Warri and Calabar. In addition, they are required to be registered with the Nigerian Ports Authority as Shipping Agents and Nigeria Customs as Customs , Licensed Agent. They should have a good knowledge of the Nigerian Cabotage Law and all Laws and policies relating to the Import and Export of Petroleum Products and Crude Oil.

1. Introduction

The Nigerian Petroleum Development Company Limited has a work programme to drill, complete and test wells in the onshore field of Egbema West in OML 20 on behalf of the JV Partners (NNPC, SPDC, TEPNL & NAOC). The estimated duration for drilling campaign is twenty four (24) months with twelve months optional extension period.

2. Scope of Work:

The Egbema, Egbema West and Ugada Integrated Oil and Gas Development projects are expected to commence 4th quarter 2010 for duration of twenty four (24) months with 12 months optional extension period. Submission for pre-qualification to tender are therefore invited from suitable and reputable companies having the requisite experience and capability in respect of the work packages summarized below:

3. Copy of current Department of Petroleum Resources (DPR) registration certificates in relevant area.

4. Evidence of registration Into the Nipex Joint Qualification System (JQS)

5. Documentary evidence of incorporation as limited liability Company in appropriate jurisdiction as well as evidence of registration to conduct business in Nigeria.

6. Tax clearance certificate for the past three years.

7. Evidence of financial capability, Company’s financial details and audited accounts over the last three (3) years (audited accounts report shall be from a registered accounting firm).

8. MOU with any affiliated company(s) and/ or subcontractors

9. Organization structure (organizational chart with names), available manpower with a list of key professional staff with their CV. CVs shall be those of key personnel that would work on this project and who are key to the successful execution of the work, detailing educational and experience level and industry certification attained.

10. Provide in detail Company’s Health, Safety, Environment & Security policy and management systems, including evidence of any internationally recognized accreditation (e.g. ISO 14001).

11. Provide Security and Community relations’ management proposal, giving in detail how your Company has successfully handled security and community related issues in the past and propose to do so the said project.

12. Details of company QA/QC programme, including evidence of any internationally recognized accreditation (e.g. ISO 9000).

13. Evidence of past relevant experience and successful performance in the provision of similar services.

14. Evidence of ownership of proposed equipment or equipment availability guarantees.

15. Any additional information that may enhance the potential of the company.

Only Drilling Service Contractors/companies that fulfill the above requirements and also pass the pre-qualification evaluation exercise shall be invited to competitively tender for the PROVISION OF DRILLING SERVICES FOR EGBEMA WEST WELL DELIVERY IN OML 20

Nigerian Content Development:

Pursuant to NPDC (NNPC) and Federal Government Policy to provide opportunities for Nigerian contractors and the development of local expertise, all the applicants must comply fully with the Federal Government preference to Nigerian based companies or foreign companies with Nigerian affiliate, which demonstrate execute the project to the satisfaction of the Nigeria requirements and guidelines.

The Federal Government of Nigeria Policy and Directives on Nigerian Content Development Directives) mandates that all Contract in the Petroleum Industry create value in country with target of 70% by 2010 in terms of total monetary expenditures in-country.

Company intends to and will expect bidders to comply with the Federal Government Policy and Nigerian Content Development Directives October 13, 2006 (or its latest revision) available at www.nnpcgroup.com and www.nigcontent.com because they constitute a FATAL FLAW in all contract evaluations.

Failure to fully comply with the Government Directives or demonstrate commitment to Nigerian Content Development shall result disqualification from bidding this contract.

In maximizing the local content of this project, pre-qualifiers are requested to give full details of their strategy for the local content implementation in order to comply fully with the Federal Government directives on Nigerian Content. Plans to include:

Specifically the Contractor shall:

· Submit verifiable evidence of compliance with Nigerian Content Guidelines & Directives and Nigerian /local Content performance on past projects/contracts for a period of 3 years.

· Describe where your project management team and procurement centre will be located in Nigeria. Please also submit an organization chart to substantiate this information.

· Provide detailed description of the location of in-country committed facilities & infrastructure (assets, equipment, technical office, and administrative space, storage, workshop, assembly area, repair & maintenance, testing, laboratory, etc) in Nigeria to support this contract ort submit a credible and verifiable plans towards setting up.

· Demonstrate that entity is an indigenous company or an indigenous company in genuine alliance with a foreign-owned of multinational company registered in Nigeria. Submit certified true copies of CAC forms 10, 02 and 07 including company Memorandum & Article of Association and/or evidence of entity’s incorporation, shareholding and ownership structure in Nigeria. Evidence of the Partnership/JV Agreement (where applicable) between Indigenous Company and their alliances with duly signed binding Agreement by the CEO of both parties.

· Provide a project-specific training, man-hour budget kill development and technology transfer plan tar Nigerian personnel or indigenous business including evidence of past performance on training and development for Nigerians nationals and indigenous business. Plan for sponsorship of Nigerians to acquire competence and/or certification. Further development of local employee as professionals. Proposed training plans for Nigeria on the project including a brief training outlined OEM products, engineering, software & hardware, project management, procurement construction, installation, start-up and commissioning, maintenance, testing and operations.

· Submit binding agreement for the sourcing of Barite and Bentonite from local milling plants & manufacturers.

· Make commitment to transfer technology, employment generation and competence development.

· Provide evidence of an understanding of the local business environment & existing relationships with Nigerian enterprises & suppliers.

· Identify Nigerian scope of work as a percentage of the total work scope. Description of all work activities that contractor proposes could be accomplished using Nigeria resources as well as name and address of potential companies to be used as subcontractors. Past experience listed where applicable. Maximizing Nigerian Content is a key work priority.

· Describe work which will be executed by the applicant using its own resources.

· List of all work which will be carried out by Nigerians and domiciled in-country, in accordance with Nigerian Content Directives divided into the various categories.

· Describe work which will be sub-contracted, giving the scope of such sub-contracts and the names address and location of the proposed sub contractor and/or details of scope of work for indigenous services & local 3rd business that would support the contact

· Submit the overall list of consumables, goods, products, raw materials & chemicals, tools and equipment to be poured and used in the execution of this contract and identify in tabular form those that are of Nigerian origin and propose suppliers.

d. Demonstrate that entity is an indigenous company or an indigenous company in genuine alliance with a foreign owned or multinational company registered in Nigeria. Submit certified true copies of CAC forms 10, 02 & 07 including company memorandum & article of association and/or evidence of entity’s incorporation, shareholding & ownership structure in Nigeria. Evidence of the Partnership/JV Agreement (where applicable) between Indigenous Company and their alliances with duly signed binding Agreement by the CEO of both parties.

e. State the location (name and address including description of facility) where it would perform in Nigeria all the pipeline coating & insulation on this contract.

f. Provide description of how bidder would maximize the utilization of Nigerian resources (labour and materials) and services in the execution of this contract. Maximizing Nigerian Content is a key Project priority.

· Submit the project key personnel manning plan, the job positions and skill area in the overall job position/ key personnel matrix that would engage Nigerian national directly on this contract and those that will engage other nationals (include as a table the list of all skilled positions and skilled personnel and identify their manning nationality).

· List of all work which will be carried out by Nigerians and domiciled in-country, in accordance with Nigerian Content Directives, divided into the following categories:

· Work which will be executed by the Applicant using its own resources.

· Work which will be sub contracted, giving the scope of such sub contractor and the names and locations of the proposed sub contracts and/or details of scope of work for indigenous services & local 3rd party business that would support the contract.

· Percentage of the entire scope of work for the contract that would be executed using resources of Nigerian origin (include as a table the detailed list of the scope of work and identify the proposed resources for executing the scope and country of its origin).

g. Provide a project-specific training man-hour budget, skill development and technology transfer plan for Nigerian personnel or indigenous business including evidence of past performance on training and development for Nigerians nationals & indigenous business. Plan for sponsorship of Nigerians to acquire competence, and/or certification. Further development of local employees as professionals.

Proposed training plan for Nigerians on the project including a brief training outline for OEM products, engineering, software & hardware, project management, procurement, construction, installation, start-up & commissioning, maintenance, testing and operations

The Shell Petroleum Development Company of Nigeria Limited hereby invites reputable contractors within Nigeria that are DPR registered with competence in the Provision of Gas Lift Compression Lease Facility to apply for pre-qualification and technical selection in the bidder’s list for the provision of Gas lift Compression Leas facility at Otumara Flow station SPDC Western Division.

SCOPE OF WORK

· The work to be performed generally consists of all works necessary and incidental to provision of compressed gas.

· Contractor shall compass associated gas from Otumara flow station, using her gas compression facility to meet the specified pressure of 70 bars and deliver safely to Otumara flow station gas injection manifold

· Provide suitable lift compressors facility at Otumara flow station

· Receive Associated gas at 2.5 -3.5 bar from flow station and compress to 70bar at the required ‘through-put’.

· Ensure safe delivery of uninterrupted and measured compressed gas supply to Otumara gas lift manifold

· Provision of accurate measurement (through-put and pressure) of daily produced gas

· Provision of accurate measurement (through-put and pressure) of daily supplied (suction) gas from flow station

· Provision of daily and monthly reports of plant performance and contractor’s activities.

The contract will last a period of 36 months

NIGERIAN CONTENT

Pursuant to Shell Petroleum Development Company of Nigeria Limited (SPDC) and Federal Government Policy to provide opportunities for Nigeria contractors and the development of local expertise, all the applicants must comply fully with the Federal Government preference to Nigerian based companies or foreign companies with Nigerian affiliate, which demonstrate willingness to execute the project to the satisfaction of the Nigerian content requirements and guidelines. Each applicant is enjoined to avail themselves of the Federal Government Directives on Nigeria content for full compliance and also harmonize with the local community for capacity building and youth empowerment.
