Invitation for Pre-Qualification: Hydrocyclone Sand Check Services

1. INTRODUCTION

Mobil Producing Nigeria Unlimited (MPN), Operator of the NNPC/MPN Joint Venture plans to carry out Hydrocyclone Sand Checks on flowing wells located in their Joint Venture (JV) acreage.

We therefore seek expression of interested and reputable companies for prequalification as a first step of the tendering for the provision of Hydrocyclone Sand Check Services.

2. OPERATING CONDITIONS

Hydrocyclone Sand Checks will be conducted on wells with reservoir pressure ranging from 1,500psi – 10,000psi, and surface system pressure ranging from 100psi – 5,000psi. Surface system temperature can be as high as 250°F. Equipment and material provided must be compatible with, and capable of operating in the Nigeria offshore environment, A few wells produce gas containing small quantities of H2 S and CO2. Equipment should, therefore, be capable of optimum performance in the presence of up to 100ppm H2S and 5% of CO2 Oil production rates and gas production rates can be as high as 20,000bbls/d and 100mscf/d respectively.

3. SCOPE OF WORK

Sand Checks operations shall involve flowing wells through the hydro-cyclone sand trap and periodically bypassing the sand trap to recover trapped sand or solids (scale etc). Volume of trapped sand shall be quantified using appropriate measuring devices. The choke manifold shall be adjusted in a stepwise manner for sand producing wells until sand free rates are established. Contractor shall also be required to utilize MPN-owned Ultrasonic Sand Detectors to monitor wells for sand production.

The services to be provided shall include but not limited to:

1. Provision of qualified personnel and portable surface testing equipment required to conduct Hydrocyclone sand checks on MPN wells. Surface testing equipment shall include but not be limited to the following: low pressure (LP) and high pressure (HP) hydro-cyclone sand traps with 3” inlet and outlet line size (minimum working pressure of LP and HP Hydrocyclone sand trap should 1300psi and 2500psi respectively), pipings, fittings and accessories(crossovers, chicksans, Weco connections, fitting etc), actuated surface safety valves with emergency shut down (ESD) panel, 5K and 10K choke manifolds, portable diesel-powered generator (weighting) less than one (1) ton), portable air compressor (weighing less than (1) one ton) and appropriate sizes of sieves (100, 200, 260 mesh sizes).

2. Quantification of sand or solids production will be based on trapping, cleaning and weighing sand or solids produced for a known volume of liquid based on the liquid rate and flow duration

3. Provide personnel to operate MPN-owned Ultrasonic Sand Detectors. Personnel will be required to interpret and analyse acquired data and also provide training for MPN personnel where required.

4. Provide accurate monitoring and recording of surface pressures and temperatures during well testing using MPN testing facilities.

5. Provide accurate Sediment and Water and API (if required) measurement during well testing.

Bidder shall be responsible for maintaining its own equipment and ensure accurate quantification of trapped sand or solids as well as accurate pressure and temperature measurements.

4. PREQUALIFICATION DOCUMENTATION

A. SPECIFIC BIDDER DOCUMENTATION

In order to be considered for pre-qualification, interested parties are required at minimum to submit letters of intent accompanied with the following documentation as detailed. Failure to provide comprehensive and detailed information for all items specified may preclude consideration for Vendor’s pre-qualification.

1. Company shall provide detailed evidence of scope of work capabilities listed above, Verifiable evidence detailing suitability of current and offshore operations facility to meet the requirements of MPN and detailed history of similar work performed for other clients (minimum5 years), including type of work performed, number of jobs and Contractor related non productive time is required in this evaluation, Provide contact information for each referenced client including company name, physical address, mailing address and phone numbers.

2. Develop and provide a comprehensive detailed list of the company’s recommended equipment scope of supply, including details of Sand Checks equipment, with specifications that meet or exceed those listed and an inventory to enable execution of operations listed and proof of ownership of equipment currently owned by company that will be utilized in the execution of the work. This list must clearly define what is in Contractors existing inventory (not including equipment solely dedicated to another client) and what equipment Contractor is proposing to maintain in inventory prior to contract award. It must also consider sufficient inventory capable of supporting a minimum of three (3) Well operations simultaneously,

If company or company’s affiliate does not own the equipment submitted for consideration, company shall provide documentation of existing binding contractual relationship between company and the equipment owner which grants company the right to offer the specific equipment for this or other similar projects offshore Nigeria.

4. Proof of available qualified personnel, resources, warehouses, maintenance facilities, spares, etc. to support all proposed operations including documentation of qualifications, licenses, and certifications held by company’s personnel, manufacturing, maintenance, repair, engineering and testing facilities.

5. Documentation showing qualifications, licenses, certificates and training of bidder s personnel demonstrating experience supporting similar operations.

B. GENERAL BIDDER DOCUMENTATION

In addition to the Specific Contractor Documentation specified above, the following general documentation must be provided and presented in the following order;

1. Full details of Company Profile, contact information including company name, physical address, mailing address, and phone number for your Parent Company, each Subsidiary, and Technical Partner(s) to be involved in relation to the supply of materials and services for this contract. A copy of your Technical partnership agreement(s) (which must be signed by each party partnership with an Indigenous Company, documented evidence must be provided.

2. Document evidence of any relationships with supplying contractors or Sub-Contractors.

3. Current relevant registration with Nigeria Department of Petroleum Resources (DPR).

4. Sections 1-5 as listed in the Specific Bidder Documentation.

5. Details of contractor’s project management practices, including organizational structure Indicating key professional staff and their resumes, with details of any formal technical support agreements with foreign contractors. This specifically must address how Contractor will support MPN’s operations with a list of relevant key professional personnel and resume.

6. Company profile including Nigerian Shareholding and Certificate of Incorporation.

7. Evidence of Financial Capability.

8. Contractor’s financial details and audited accounts for the last three (3) years

9. Tax Clearance Certificate for the past three (3) years (2006, 2007 & 2008).

10. Signed copies of Contractor’s Safety, Health and Environment (SHE) policies, signed Alcohol and Drug Policy, and Malaria Prevention Policy. Provide SHE organization chart and safety statistics for preceding three (3) years to demonstrate a history of safe, well-managed operations under similar Conditions and work requirements.

11. Details of Company’s Quality Assurance and Quality Control (QA/QC) Procedure and Structure.

12. Documentation of key performance indicators tracked and reported and examples of Contractor’s failure reporting system

13. Details of community relation’s policy and strategy to assure smooth operations.

14. Details of Nigerian Content Inclusion/Plan.

Addax Petroleum Development (Nigeria) Limited (hereinafter referred to as “APD(N)L”) invites interested companies to pre-qualify for consideration in tendering for the provision an Onshore Drilling Unit required for the 2009 through to 2011 work program in OML 124. The Scope of Work is as stated below:

The reimbursement for the Scope of Work performed shall be on a “day rate” and/or lump sum basis, as requested by APD(N)L

The Scope of Work is expected to commence in Q4 2009 and the estimated duration of the contract is two (2) years, with APD(N)L having an option to renew for a further one {1) year.

NIGERIAN CONTENT

In accordance with the Federal Government of Nigeria Directives on Nigerian content target of 70% by end year 2010, companies are to include in their submissions their plan to fully comply with Nigerian content requirements by identifying the Nigerian Scope of work as a percentage of the total

overall scope of work in terms of the monetary value that will be crated in country by the deliberate use of Nigerian resources (personnel equipment and materials) on this project.

Companies are to include their bids the following

(a) Evidence of Company existence in Nigeria

(b) Evidence of Company ownership/shareholding structure with copies of CAC forms CO2/CO7

(c) Address and location of office in Nigeria

(d) Nigerian content training and development plan

(e) Location of the project management and procurement activities in Nigeria

(f) Bidders must show evidence of ownership of in-country operation yard, workshop and maintenance

No compliance with Nigerian Content requirement is a “Fatal Flaw” and will be a ground for disqualification

PRE-QUALIFICATION CRITERIA

In order to be considered for participation in the tender process APD(N)L, requires that any interested company must comply fully with the current Nigerian Content Directives and in addition must be an indigenous Nigerian Company having a genuine joint venture with a foreign company with duly signed MOU binding by Chief executive officers of the two companies and the indigenous company as lead partner having minimum of 60% equity incase of joint venture.

Only companies able to document the required qualifying experience, resources and proven work record will be competitively tender for this scope of work.

3.14 NIGERIAN CONTENT

alliance with a foreign-owned or multinational company registered in Nigeria. 3.14.2 Demonstrate that entity is a Nigerian company. Submit certified true copies of CAC forms 10, 02 & 07 including company memorandum & article of association and other evidence of entity’s incorporation, shareholding & ownership structure in Nigeria. Maximizing Nigerian Content is a key contract priority, therefore for foreign companies and multinationals alliance with a local/indigenous company to develop local business capability is essential, submit evidence that the local company is an indigenous company and the binding Agreement of the alliance duly signed Agreement by the CEO of both parties and stating the specific work scope to be performed by each member of the alliance.

3.14.3 Provide detailed description of the location of in-country committed facilities & infrastructure (assets, equipment, technical office, and administrative space, storage, workshop, assembly area, repair & maintenance, testing, laboratory, etc) in Nigeria to support this contract or submit a credible and verifiable plan towards setting-up.

Submit the detailed description of facilities and infrastructure in Nigeria with evidence of ownership and location in-country.

3.14.4 Provide a project-specific training, man-hour budget, skill development and technology transfer plan for Nigerian personnel or indigenous business including evidence of past performance on training and development for Nigerians nationals & indigenous business. Plan for sponsorship of Nigerians to acquire competence and/or certification. Further development of local employees as professionals. Proposed training plan for Nigerians on the project including a brief training outline for OEM products, engineering, software & hardware, project management, procurement, construction, installation, start-up & commissioning, maintenance, testing and operations.

3.14.5 Provide description of how bidder would maximize the utilization of Nigerian resources (labour and materials) and services in the execution of this contract.

§ Submit tenderer’s corporate organization’s overall human resources structure (rngt, supervisors, senior & junior skilled officers,etc) identifying positions manned/occupied by Nigerian nationals with evidence of type of employment in country and identifying the positions manned/occupied by other nationals.

§ Submit for the contract, what percentage of the skilled manpower and labour including key personnel that will be positions for Nigerian nationals and the percentage that will be positions for other nationals in order to maximize the utilization of Nigerian resources on the contract in line with Govt Policy and identify the positions that would be occupied by Nigerian nationals and the positions to be occupied by other nationals (include as a table the list of all skilled positions & key personnel and identify their manning nationality).

OPERATOR OF THE NNPC/AENR OML116 FIELD SERVICE CONTRACT

INVITATION FOR PRE-QUALIFICATION

HIRE AND OPERATION OF TWO (2) SUPPORT VESSELS FOR AGBARA FIELD OPERATION

1. INTRODUCTION

Agip Energy and Natural Resources (Nig) Limited (AENR) intends to award contract for the hire and operation of two (2) Support Vessels to provide support/utility services for AENR Agbara Production Platform in NNPC/OML116 Field operations.

AENR therefore invites submissions for pre-qualification to be included on the bidders lists, from suitable and reputable companies having requisite experience and capability to undertake this defined scope of work.

2. SCOPE OF WORK

As a mandatory requirement, the support vessels shall meet the following minimum specifications:

1. Year of last dry-dock and before 2004

2. Length of vessel: 35 38 metres

3. Breadth of vessel: 7 9 metres

4. Draft – maximum 2.75 metres

5. Main Engine: 2000 BHP minimum

6. Speed 10 20 knots

7. Navigational and to include Radar, Echo sound etc

8. Minimum persons to carry 40

9. Fire Fighting System FIF 1 2 minimum 500m 3/hr at 100m head

10. Available Rescue Zone/Scamble Net

11. Dispersant Spray Boom

12. Fuel and Water Transfer Rate: 50 Tons/hour at 25m head (minimum)

13. Deck space minimum size – 100m2

Please note:

§ Availability of the Support Vessel within Nigeria and readiness for deployment to work immediately would be an advantage.

§ Deployment of one (1) Support Vessel is foreseen to commence 3rd quarter of 2009 and the other one (1) in 2010.

§ The boat(s) must be crewed with professional seamen and so equipped as to be able to handle efficiently all jobs for which she is hired as listed below:

§ Ability to professionally render services on Nigerian coastal and inland water ways as may be requested by Company.

§ Ability to serve or vessel for both heavy and light materials and utility items

§ Ability to combat oil pollution and fire outbreak

§ Ability to conduct search and rescue operations at sea.

3. PRE-QUALIFICATION

Only companies qualified from this prequalification exercise shall be invited to competitively tender for the stated Service. Failure to submit any of the under listed documents, may result in the disqualification of the bidder.

a. Full details of company profile with certificate of incorporation

b. Name, email address and telephone number of contact person for the project

c. Name, present location and availability of the Vessel as requested

d. Tax clearance Certificate for the recent past three (3) years, 2006, 2007 and 2008.

e. 2008 Department of Petroleum Resources (DPR) registration certificate relevant to the service or receipt to evident payment.

f. Evidence of NIPEX registration

g. Company’s financial details and certified audited accounts for the last three (3) years, 2006, 2007 and 2008.

h. Organizational structure, available manpower with a list of technical staff with their resumes.

i. List of equipment to be utilized for the services

j. Detailed evidence of the company’s ability to perform the identified services, including facilities, software, hardware, visualization facility, equipment and personnel available to support the services.

k. Provide in details Company’s Health, Safety and Environment Policy and Programme.

l. Provide community relations proposal giving in detail how your Company has successfully handled community-related issues in the past and propose to do so for the said project.

m. Evidence of past experience in similar service in the last five (5) years.

n. Clear evidence of ownership of the proposed vessel or properly executed MOU of the proposed Vessel with names of operator’s representatives that can be contacted for verification

o. Detailed QA/QC policy.

Companies that are structured simply as Agencies shall be precluded and not considered under this pre-qualification.

4. NIGERIAN CONTENT

Nigerian Content is evaluated on the basis of quantum composite value added or created in the Nigerian economy through the deliberate utilization of Nigerian human resources, materials and services in course of the contract execution. Interested bidders are therefore required to demonstrate maximum deployment of Nigerian resources for the effective capacity development in the submissions.

In pursuance thereof, intending bidders are invited to provide the following in their submissions:

§ Evidence of Company’s existence in Nigeria, supported with CAC forms C02 and C07.

§ Entity must have at least 60% Nigerian ownership of the vessels as contained in form C02 and C07 and or provide a Binding Agreement, duly signed by the chief executive of both parties, supporting an alliance with any Nigerian indigenous shipping companies to perform this service. The binding Agreement shall state the number of vessels and the list of crews that are to be contributed by the Nigerian indigenous shipping companies. Plan to employ Nigerians on the job.

§ Company’s organogram populated with names and CVs of personnel proposed for the work scope.

§ Evidence of compliance with Coastal & inland shipping (Cabotage) Act 2003 of the Federal Republic of Nigeria.

§ Percentage of work scope to be conducted by Nigerian personnel/engineers and three year plan for increasing the Nigerian Content of your vessel crew.

§ Proposed subcontracting agreements with names and addresses, attached with past experience of such patronage, if any.

§ Evidence of the existence of warehouse, offices, maintenance and repair workshop in Nigeria or plan for their establishment in Nigeria

§ Evidence of past/plan for Training and Development of Nigerian nationals for this service in inspection installation, quality control services etc.

§ Your detail training plan for the Nigerian crew or cadets supported by their CVs and stating the training discipline, man hours and duration.

§ Evidence of compliance with Nigerian Flag registration and Nigerians supported by their CVs.

§ Clear evidence of where you plan to source for your spare parts for this contract.

§ Provide further innovative proposals that would enhance the development of Nigerian Content on the Project/Service.

The pr-qualification documents (3) hard copies plus one electronic copy on CD-ROM shall be submitted in one (1) sealed envelope, clearly marked “Prequalification for the Hire of one (2) Support Vessel for Agbara Field (NNPC OML116) Operations,” with your Company’s Name and should be addressed to the Strategic Procurement Manager and delivered to the address given below on or before Monday April 27, 2009.
