Job Description

RESPONSIBILITIES
* The Leader of Policy and Technical -Mergers & Acquisitions will be an individual contributor team member.
* Provide deep technical analysis and document conclusion primarily in the area of worldwide corporate development activities including acquisitions, joint ventures, asset purchases, contracts and dispositions.
* Direct experience and application of the following literature: FASBs 141, 141R, 142, 133, 150 and FIN 46R, as well as good understanding of FAS 160.
* Monitor development activity to proactively identify potential / issues and suggest optimal alternatives.
* Oversee due diligence efforts for deal activity working with outside professional and valuation firms.
* Review deal documents and comment on and finance issues.
* Monitor industry/regulatory developments for potential impact on existing and planned deal activities.
* Oversee all purchase entries including the uploading of opening balances and purchase price allocations by partnering with Corporate , External Reporting, SOX office and other finance organizations.
* Assist with the post-merger integration activities from an and consolidation perspective including on-going impairment analysis and balance transfers, liquidation and shut downs.
* Assist with SEC and other filings related to disclosure of acquisitions and dispositions (Form 8Ks, proxies, etc.).
* Assist with establishing consistent integration policies and processes in line with established polices and time-lines.
* Main liaison with independent auditors for all corporate development deals.
* Coordinate and liaison activities with M&A group, PMO office, Tax, Legal etc.
* Provide technical assistance with special projects.

REQUIREMENTS

* CPA
* Direct experience with M&A activities
* 10+ years of experience including at least 6 years of public experience
* Current or former senior manager with Big 4 Technical , Due Diligence or Audit group
* Large private industry Development experience is highly valued
* Technical proficiency and extensive experience with for acquisitions
* Hands on experience with consolidation function of large, multi-national complex organizations
* Comprehensive understanding of the legal, tax, and aspects of merging and dissolving legal entities
* Outstanding organization and project management skills
* Extensive experience managing programs with multiple projects/deliverables
* Strong interpersonal skills, including verbal and written communication, especially in developing position papers and presenting to auditors and management
* Innovative and flexible approach to problem solving, with a focus on continuous improvement
* Excellent interpersonal, team building, facilitation and change management skills
* Results oriented and can thrive in a fast-paced deadline driven environment
