Job Description

General Summary:

The Contract Manager is responsible for the preparation, negotiation and resolution for all Global Financial Services financing documentation within assigned jurisdictions. The Contract Manager is the primary interface with the EMC Area Finance Manager and other internal EMC groups, End User/Lessee, and the EMC funding partners as it pertains to financing documentation for a particular offering. The Contract Manager must ensure that all non standard financing documentation or any changes or revisions to standard documentation, that are accepted by EMC, will meet EMC revenue recognition requirements and allow EMC to sell and assign the paper, on a non-recourse basis, under the various Vendor Program Agreements in place with its funding partners.

Principal Duties and Responsibilities:

· Advise EMC Area Finance Managers on questions and revisions relating to complex financing documentation including but not limited to OpenScale and Master Lease documentation.

· Negotiate on behalf of EMC the documentation required for the particular financial offering proposed by the Sales Team and the AFM with the business and legal representatives of the End User.

· Interface directly with the business and legal representatives of various EMC funding partners relating to any changes to standard EMC documentation or non standard documentation to support any offering that have been approved by EMC.

· Advise Operations Manager and Underwriting Manager on legal requirements relating to any workouts.

· Review and discuss forbearance documentation related to problem leasing accounts with the appropriate EMC funding partner and provide the contractual approval on behalf of EMC Corporation.

· Advise all GFS personnel on non-standard documentation requirements for new and existing assigned accounts and work with all groups on documentation requirements related to non standard GFS offerings.

· Mentor Lease Contract Supervisors and Lease Contract Specialists to further their understanding of acceptable end user, lessee requested changes and revisions to the standard documentation and facilitate a legal view of EMC’s specialized offerings.

· Liaise with the Sales Contract group to facilitate communication between the two groups as it pertains to all GFS offerings as to any contractual updates and any changes to EMC policy and procedures relating to contractual requirements.

Skills:

· Strong written and verbal communications skills

· Understanding of leasing and/or secured lending legal and commercial requirements

· Strong and effective negotiation skills

· Effective time management and an ability to meet and work with very tight deadlines

Experience/ Education Required:
- J. D., Massachusetts Bar
- 6 to 8 years legal experience in a leasing or secured lending environment which includes contract negotiation experience.
